Terms of Service

To register as a merchant on Shoppal, you must:

• Be at least 18 years old
• Operate a legitimate business lawfully selling products or services
• Provide accurate, complete, and current legal name, address, phone, and email
• Not be listed on any government sanctions list or restricted party list
• Not have had a Shoppal account previously terminated

Shoppal reserves the right to refuse, suspend, or terminate registration at any time, with or without cause, and without liability.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Keeping your account information up-to-date
• Notifying us immediately of unauthorized access
• Complying with all applicable laws and regulations

You may not use Shoppal to:

• Engage in illegal activities or transactions
• Sell counterfeit, stolen, or restricted goods
• Violate intellectual property rights
• Reverse engineer, decompile, or attempt to access source code
• Hack, probe, or perform security tests without authorization
• Spam, harass, or threaten other users
• Transmit viruses or malicious code
• Frame or redirect the service through other sites
• Engage in fraud or money laundering
• Violate payment processor terms or regulations

Shoppal AI provides insights and recommendations based on your business data. However:

• AI outputs may contain errors and should not be relied upon as professional advice
• You remain responsible for all business decisions
• Shoppal does not guarantee the accuracy of AI-generated insights
• Do not submit highly sensitive information in AI prompts
• AI features are provided "as-is" without warranties

Shoppal retains all rights, title, and interest in the Service, including all intellectual property. You are granted a limited, non-exclusive, non-transferable license to use Shoppal for lawful business purposes only. You retain ownership of your business data; Shoppal may use anonymized data to improve the Service.

Shoppal may suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• You engage in illegal or fraudulent activity
• You pose a risk of loss to Shoppal or users
• You breach payment processor agreements
• For any reason, with or without cause

Upon termination, your access ceases immediately. You may be unable to recover business data.

To the maximum extent permitted by law, Shoppal Labs and its officers, directors, employees, contractors, and agents are not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of data, revenue, or business opportunity
• Third-party services or payment processor actions
• Service interruptions or server failures
• Inaccurate or delayed data

You agree not to bring any claim personally against any of our employees, contractors, or agents for actions taken in the course of their work for Shoppal Labs. Any permitted claim must be brought against Shoppal Labs.

Total liability, if any, is limited to the amount you paid in the 12 months preceding the claim.

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SHOPPAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHOPPAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

You agree to indemnify, defend, and hold harmless Shoppal Labs and its affiliates, and each of their respective officers, directors, employees, contractors, and agents, from any claims, damages, losses, liabilities, and costs (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your business operations or products
• Your infringement of third-party rights

Shoppal offers a free trial and paid subscription plans ("Paid Plans"). Every plan includes the same features — there are no feature gates and no add-on fees. Paid Plans are billed monthly in advance, in United States dollars (USD), through the payment method you provide. By subscribing to a Paid Plan, you authorise us (or our payment processor) to charge that payment method on a recurring basis until you cancel.

• Free trial: New accounts start with a free trial period, as described during sign-up. We will not convert you to a Paid Plan without notice.
• Seats: Each Paid Plan includes a set number of team seats. Upgrading to a plan with more seats takes effect immediately, and we will charge a pro-rated amount for the remainder of your current billing period.
• Downgrades: Downgrading to a plan with fewer seats takes effect at the start of your next billing period. You can continue using your current plan until then.
• Cancellation: You can cancel at any time from your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period, and you keep access to the Service until then. We do not refund unused portions of a billing period.
• Refunds: If you purchased a Paid Plan within the last 7 days and have not meaningfully used the Service, contact us at contact@shoppal.org to request a refund. We review refund requests on a case-by-case basis. Refunds are generally not offered for partial billing periods after the first 7 days.

Prices may change from time to time. We will provide at least 30 days' notice before any price increase affecting your plan. Taxes may apply in addition to plan prices.

Shoppal may modify these Terms at any time. Changes are effective upon posting to the website. Your continued use constitutes acceptance of updated Terms.

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
